TASKKO MARKETPLACE — TERMS AND CONDITIONS
Version 1.0 - Draft for legal review (first published edition)
Effective: [●] August 2026 - First published version
Language precedence (Article 51.1)
The Portuguese version prevails for users in Portugal, the Spanish version for users in Spain, and the English version in all other cases. Translations are provided for convenience; in case of conflict, the applicable language version controls.
PREAMBLE
1. Who we are. Taskoo Marketplace (the "Platform") is a digital intermediation service operated by [platform legal entity], [legal form], with tax number PT NIF/CIF [●], with registered office at [registered address] ("we", "us"). The Platform connects independent service professionals ("Pros") with customers seeking home services in Portugal and Spain, and provides discovery (proximity matching), booking, payment processing through a licensed payment service provider, escrow release management, communication tools, reviews and dispute handling.
2. What these Terms do. These Terms and Conditions ("Terms") govern: (a) the relationship between the Platform and Service Providers; (b) the relationship between the Platform and Customers; (c) the relationship between the Platform and Regional Cooperatives; (d) the relationship between the Platform and Business Operators; and (e) use of the Platform application, website and associated technology.
3. Legal framework acknowledgement. These Terms are drafted with due regard to:
- Regulation (EU) 2016/679 (GDPR), Portuguese Lei n.º 58/2019 and Spanish Organic Law 3/2018 (LOPDGDD);
- Directive (EU) 2024/2831 of 23 October 2024 on improving working conditions in platform work ("Platform Work Directive"), including its Article 5 rebuttable presumption of employment and its Articles 7–11 on algorithmic management;
- Article 12.º-A of the Portuguese Código do Trabalho (introduced by Lei n.º 13/2023, of 3 April);
- Spanish Ley 12/2021, of 28 September ("Ley Rider") — whose DA 23.ª of the Estatuto de los Trabajadores addresses, in its literal scope, digital platforms in the sectors of delivery and transport of goods, and which Spanish courts and doctrine may apply interpretatively to other algorithmically-managed in-person work;
- Directive 2011/83/EU on consumer rights (as transposed by Portuguese DL n.º 24/2014 and Spanish TRLGDCU, RDL 1/2007);
- Regulation (EU) 2019/1150 on promoting fairness and transparency for business users of online intermediation services ("P2B");
- Regulation (EU) 2022/2065 on a Single Market for Digital Services ("Digital Services Act");
- Council Directive (EU) 2021/514 (DAC7) as transposed in Portugal and Spain (annual reporting of sellers of personal services);
- Directive (EU) 2015/2366 (PSD2) on payment services;
- The Portuguese Cooperative Code (Lei n.º 119/2015, of 31 August) and Spanish cooperative legislation (Ley 27/1999 and applicable autonomous-community laws); and
- Regulation (EC) No 593/2008 (Rome I) and Regulation (EU) No 1215/2012 (Brussels I bis).
Note on ODR: the former EU Online Dispute Resolution platform was discontinued with effect from 20 July 2025 (Regulation (EU) 2024/3228 repealing Regulation (EU) No 524/2013). References to alternative dispute resolution in these Terms therefore point to national ADR entities under Directive 2013/11/EU only.
4. Interpretation note — the true marketplace model. These Terms establish a marketplace model in which Pros operate with genuine autonomy. The Platform does not direct or control the manner and means of the work, does not impose quotas, minimum availability, acceptance rates or rating floors, and does not exercise disciplinary power over work performance. Enforcement rights are grounded in commercial contract and intellectual property law (licensing, insurance requirements, objective-cause termination), not labour control. Whether any legal relationship constitutes employment is assessed by courts and authorities on the basis of facts, not contracts alone; this document states the intended posture and the factual record that supports it, and must be periodically re-tested with qualified counsel in both jurisdictions. Nothing in these Terms may be relied upon to waive mandatory statutory protections of consumers or workers.
PART I — DEFINITIONS AND INTERPRETATION
Article 1 — Definitions
1.1 "Platform" means Taskoo Marketplace, the digital marketplace operated through the application, website and associated infrastructure.
1.2 "Platform Application" / "App" means the software applications (web and mobile) providing matching, booking, payment processing, communication, review and dispute-handling functionality.
1.3 "Service Provider" or "Pro" means a self-employed individual (e.g., trabalhador independente / empresário em nome individual, autónomo) or an incorporated business, verified by the Platform, who provides home services directly to Customers through the Platform.
1.4 "Customer" means a natural person aged 18 or over who books home services through the Platform for purposes outside their trade, business or profession (a consumer, entitled to the consumer protections in Part III), or a legal person / natural person acting for business purposes (a business customer, to whom Part III's consumer-specific provisions do not apply).
1.5 "Regional Cooperative" means a legally constituted cooperative with separate legal personality, scoped to a single city or region, affiliated to the Platform under a Service Agreement (Part IV). In Portugal cooperatives take the form recognised by the Portuguese Cooperative Code (typically CRL); in Spain, those recognised by Ley 27/1999 or applicable autonomous-community law.
1.6 "Business Operator" means a professional user (e.g., a vacation-rental property manager) holding a B2B account used to register properties, integrate calendar feeds and enable auto-scheduling (Part V).
1.7 "Service Agreement" means the agreement between the Platform and a Service Provider or Regional Cooperative consisting of: (a) these General Terms; (b) the Privacy Policy; (c) any Special Terms expressly published in the App and accepted by that Pro or Cooperative; and (d) any additional signed document (e.g., a Cooperative Service Agreement under Article 32).
1.8 "Customer Contract" means the contract for services concluded directly between the Customer and the Pro when a booking is confirmed. The Platform is not a party to it, save for its role in operating the payment and escrow infrastructure described in Articles 17, 25 and 29.
1.9 "Service Price" means the total amount the Customer pays for a service, determined autonomously by the Pro for each service category. The Customer pays exactly the Service Price; the Platform adds no surcharges, booking fees or "trust fees".
1.10 "Platform Commission" means the fee the Pro pays to the Platform for use of its technology and administrative services, calculated as eighteen percent (18%) of the Service Price, deducted from the payment before disbursement to the Pro.
1.11 "Co-operative Share" means, where the accepting Pro is affiliated to a Regional Cooperative, the share of the Service Price allocated to that Cooperative under its Service Agreement, set between zero and three percent (0–3%; default two percent (2%)), deducted from the payment before disbursement to the Pro. The affiliation applicable to a job is fixed at booking time.
1.12 "Pro Payout" means the amount owed to the Pro for a completed service: the Service Price less the Platform Commission and, if applicable, the Co-operative Share (82% of the Service Price for direct Pros; 80% where a 2% Co-operative Share applies).
1.13 "Escrow Hold" means the payment authorisation created at booking time via the Platform's licensed payment service provider with manual capture: funds are reserved (authorised, not yet charged) until capture after completion of the service, unless cancelled or refunded.
1.14 "Dispute Window" means the twenty-four (24) hour period after a service is marked complete during which the Customer may open a dispute; opening a dispute pauses the release of the Escrow Hold pending resolution under Article 29.
1.15 "Wallet" means the prepaid credit ledger maintained by the Platform for each user: credits are acquired by top-up payments processed by the payment service provider, are redeemable exclusively against services booked through the Platform, bear no interest and are refundable in accordance with Article 26.
1.16 "Auto-Schedule Offer" means a proposal of a cleaning job generated automatically upon detection of a guest checkout event in a Business Operator's calendar feed and presented to eligible opted-in Pros. It is an invitation to accept work, never an assignment (Article 38).
1.17 "IP License" means the revocable licence granted to Pros and Regional Cooperatives to use the Platform's application, brand, matching engine and review infrastructure solely in connection with services booked through the Platform (Article 15).
1.18 "Objective Cause" means a binary, documentable trigger for suspension, termination or IP License revocation, as defined in Article 16.
1.19 "Grace Period" means the cure period stated in a written notice from the Platform (no shorter than ten (10) calendar days unless a shorter period is required for safety, fraud or legal compliance), during which a Pro or Cooperative may remedy an Objective Cause.
1.20 "Pro Appeals Board" means the human review body described in Article 43 and Schedule B.
1.21 "Personal Data" has the meaning given in the GDPR.
1.22 "Algorithmic Management" means the use of automated systems to monitor, evaluate, allocate or make decisions affecting persons performing work through the Platform.
1.23 "Payment Service Provider" / "PSP" means the independent credit institution authorised under PSD2 through which all card payments, holds, captures and refunds are executed (currently Stripe Payments Europe, Ltd.).
Article 2 — Acceptance and Conclusion of Contract
2.1 By creating an account, downloading the App or using the Platform's services, the user (Pro, Customer, Cooperative or Business Operator) agrees to be bound by these Terms.
2.2 The user declares and warrants that they: (a) have read, understood and agree to be bound by these Terms; (b) have legal capacity to enter into binding contracts; (c) will not authorise others to use their account without prior written consent; and (d) will not copy, distribute or reverse-engineer the Platform's software or content without permission.
2.3 Amendments follow Article 46: material changes are notified at least fifteen (15) days in advance; continued use after the effective date constitutes acceptance, and users who do not accept may terminate free of charge before that date.
Article 3 — Account Creation, Security and Roles
3.1 Users must provide accurate, complete and up-to-date information and keep it current.
3.2 Authentication uses email or SMS one-time codes issued by the Platform's identity provider. Credentials are personal, confidential and non-transferable; the user is responsible for unauthorised use resulting from their failure to safeguard them and must report suspected breaches without delay.
3.3 Accounts hold one role at a time. New accounts start as Customer. Becoming a Pro requires completing the verification flow (identity, business registration, tax identification, insurance declarations and supporting documents) followed by Platform verification — there is no automatic role switch. Demotion and re-onboarding rules are described in the App and the Privacy Policy.
3.4 The Platform may introduce additional verification methods, including multi-factor authentication, as required by law or best practice.
Article 4 — Role of the Platform
4.1 The Platform is a technology intermediary. It provides matching, scheduling, payment processing, escrow release management, communication and trust infrastructure.
4.2 The Platform does not provide home services. All services are provided directly by Pros to Customers under the Customer Contract.
4.3 The Platform operates the payment and escrow infrastructure (authorisation holds, capture, refunds, wallet) and issues decisions on the release or refund of held funds under Articles 25 and 29. This operational role does not make the Platform a party to the Customer Contract nor a provider of home services.
4.4 Nothing in these Terms creates an employment, agency, partnership or joint-venture relationship between the Platform and any Pro, Cooperative, Customer or Business Operator.
Article 5 — Governing Law and Jurisdiction
5.1 Applicable law. (a) For users habitually resident or established in Portugal: Portuguese law; (b) for users habitually resident or established in Spain: Spanish law; in each case excluding its conflict-of-laws rules, and without prejudice to directly applicable EU law and to the mandatory protections granted to consumers under the law of their country of habitual residence (Rome I, Art. 6).
5.2 Labour status. For all matters concerning the employment status of Pros, the labour and social-security laws of the country where the services are physically performed (Portugal or Spain) prevail, including Article 12.º-A of the Portuguese Código do Trabalho and, where applicable by interpretation, Spanish Ley 12/2021.
5.3 Jurisdiction. Without prejudice to Article 5.4: (a) disputes with Consumers may be brought before the courts of the Consumer's domicile (Brussels I bis, Arts. 17–19); (b) disputes with Pros, Cooperatives and Business Operators fall under the exclusive jurisdiction of the courts of Portugal or Spain respectively, corresponding to the jurisdiction where services were performed or the user is established.
5.4 Alternative dispute resolution. The Platform supports amicable settlement and voluntary recourse to ADR entities complying with Directive 2013/11/EU (in Portugal, consumer arbitration entities; in Spain, the Junta Arbitral de Consumo system). Participation by consumers is without prejudice to their right to bring court proceedings.
Article 6 — Data Protection and Privacy
6.1 The Platform processes Personal Data in accordance with Regulation (EU) 2016/679 (GDPR), Portuguese Lei n.º 58/2019, Spanish Organic Law 3/2018 and its Privacy Policy, which forms part of these Terms.
6.2 Roles. The Platform is the controller for the Personal Data of account holders (accounts, bookings, matching inputs such as location, chat, reviews, verification and tax data, wallet and payout records). Identity, payment, push-notification and cloud-infrastructure providers act as processors under data-processing agreements. Pros act as independent controllers for Personal Data they process in the course of delivering services (e.g., access information for the Customer's home) and must comply with applicable data-protection obligations.
6.3 Purposes include: performance of contracts (matching, booking, escrow, payouts), verification and traceability of traders (DSA Art. 30), tax reporting cooperation (DAC7), safety and fraud prevention, and service communications. Location data is processed solely for proximity matching and service delivery. Evidence documents (business registration, insurance) are stored encrypted, accessible only through authenticated channels, and deleted after the verification decision subject to legal retention duties.
6.4 The Platform maintains a data-protection impact assessment covering geolocation, chat and evidence-document processing, implements appropriate technical and organisational measures, and provides data-subject rights (access, rectification, erasure, portability — including portability of ratings and reviews generated through work on the Platform — restriction and objection) through privacy@privacy@[●]. Breach notification follows GDPR Art. 33 (72 hours).
Article 7 — Intellectual Property
7.1 All intellectual property rights in the Platform Application — content, design, logos, software, matching engine, aggregated demand data and review infrastructure — belong to the Platform or its licensors.
7.2 No part of the Platform Application may be copied, rented, sold, distributed or modified without the Platform's prior written consent.
7.3 Users receive a limited, revocable, non-exclusive, non-transferable licence to use the App in accordance with these Terms.
7.4 Completion photographs uploaded by Pros are licensed to the Platform on a non-exclusive basis solely for job documentation, dispute resolution, quality assurance and legal-compliance purposes.
PART II — TERMS FOR SERVICE PROVIDERS (PROS)
Article 8 — Independent Contractor Status and Personal Performance
8.1 The Pro is an independent contractor, not an employee, worker, agent or representative of the Platform.
8.2 The Pro operates an independent business and is responsible for: (a) all business expenses, including tools, materials, equipment, transport and consumables; (b) all tax and social-security obligations, including income tax, VAT/IVA and contributions; (c) all insurance obligations, including public liability insurance (Article 13); (d) compliance with all applicable laws, regulations and licensing requirements.
8.3 The Pro is not subject to the Platform's direction or control regarding the manner and means of providing services, subject only to: (a) compliance with applicable law; (b) the objective terms of these Terms; and (c) the IP License (Article 15).
8.4 Equipment. The Pro uses their own tools and equipment; no equipment used in performing services belongs to, or is leased from, the Platform.
8.5 Personal performance — no substitution. Services booked through the Platform must be performed personally by the verified Pro who accepted the booking or Auto-Schedule Offer. Subcontracting or sending substitutes is not permitted, because verification (identity, insurance, registration, certifications) attaches to each individual Pro. If a Pro cannot perform an accepted job, they must decline it before acceptance or cancel through the App so that the slot or offer is freed for other Pros; doing so carries no sanction beyond the ordinary cancellation mechanics.
8.6 Representations as to qualifications and licences. By offering a service category, the Pro represents and warrants that (a) any professional qualification, licence, registration or certificate declared in connection with that category is true, valid and current, and (b) the Pro is legally entitled to provide the services in that category. Categories that involve regulated trades may require registry-based verification by the Platform before the category is approved; a Pro may not perform a job in a category that the Platform has not approved for that Pro. The Platform's review is for marketplace integrity and transparency only: it neither guarantees the Pro's work nor assumes the Pro's obligations towards Customers.
Article 9 — Pricing Autonomy and Fee Disclosure
9.1 The Pro sets their own price for each service category and may adjust prices at any time; adjustments do not affect bookings already confirmed.
9.2 The Platform does not fix, suggest, cap or otherwise influence prices, and sets no minimum or maximum.
9.3 Fee disclosure. The Pro pays:
| Affiliation | Platform Commission | Co-operative Share | Pro keeps |
|---|---|---|---|
| Direct (independent) | 18% | — | 82% |
| Cooperative member | 18% | 0–3% per the Cooperative's Service Agreement (default 2%) | 80% (with default) |
The applicable split is fixed per job at booking time. The Customer always pays exactly the Service Price.
9.4 The Pro's price is displayed to the Customer before booking confirmation; the Customer accepts or rejects it.
Article 10 — Job Acceptance Autonomy
10.1 The Pro explicitly accepts or declines every offer, including Auto-Schedule Offers. The Platform never auto-assigns jobs.
10.2 There are no minimum acceptance-rate requirements, no response-time penalties and no sanctions of any kind for declining offers. Declining frees the slot or offer for other Pros; unaccepted Auto-Schedule Offers expire after forty-eight (48) hours.
10.3 The Pro determines their own availability and working hours by publishing availability slots in the App.
Article 11 — No Exclusivity
11.1 The Pro may provide services through any other platform, directly to clients or through any other channel simultaneously.
11.2 The Platform requires no exclusivity, and none shall be implied.
11.3 The Pro's ability to accept or decline jobs is unaffected by activity outside the Platform.
11.4 No non-solicitation or non-compete clauses apply. The Pro owns their customer relationships and may serve them independently outside the Platform.
Article 12 — Customer Relationship
12.1 The Pro owns the customer relationship established through the Platform.
12.2 The Pro may communicate directly with Customers for service delivery, scheduling and follow-up.
12.3 The Pro may provide services to Platform customers outside the Platform, provided that: (a) they comply with applicable law; (b) the Customer consents; and (c) they do not circumvent the Platform's payment system for services originally booked through it.
Article 13 — Insurance and Registration
13.1 Insurance. Throughout the term, the Pro maintains active public liability insurance (Responsabilidade Civil Profissional / Responsabilidad Civil Profesional) covering their professional activities in Portugal and/or Spain with a minimum cover of three hundred thousand euros (€300,000) per occurrence, and provides evidence upon onboarding, upon request and at least annually.
13.2 Registration. The Pro maintains valid registration for their activity for its entire duration (in Portugal: commencement of activity registration with the tax authority as empresário em nome individual or company; in Spain: alta en el Censo de Empresarios, Profesionales y Retenedores and, where applicable, affiliation to the RETA special regime).
13.3 Lapse of insurance or registration, uncured within the Grace Period, constitutes an Objective Cause under Article 16.
Article 14 — Quality Assurance Without Control
14.1 The Platform does not exercise disciplinary power over Pros based on service quality, ratings or performance.
14.2 Ratings and reviews are informational only: they are not used for algorithmic discipline, automated suspension, ranking or matching decisions, and there are no minimum rating requirements for continued access.
14.3 The Platform does not use algorithmic scoring, performance monitoring or real-time surveillance to evaluate Pros.
Article 15 — IP & Brand Licence
15.1 The Pro receives the IP License (Article 1.17) solely in connection with services booked through the Platform.
15.2 The IP License is revocable only for Objective Causes (Article 16).
15.3 Revocation affects only access to the Platform's technology and brand; it does not restrict the Pro's ability to work independently or through other channels.
15.4 The Pro may not: (a) use the brand or IP beyond the licence scope; (b) present themselves as agent, employee or affiliate of the Platform; (c) sublicense, assign or transfer the IP License without written consent.
15.5 Ownership of the matching engine, aggregated demand data and review infrastructure remains with the Platform.
Article 16 — Objective-Cause Enforcement
16.1 The Platform may suspend or terminate a Pro's access and revoke the IP License only for Objective Causes: (a) insurance lapse not cured within the Grace Period; (b) registration lapse not cured within the Grace Period; (c) fraud — falsified credentials, identity fraud, payment fraud or fabricated completion evidence; (d) substantiated safety incident determined by an impartial investigation; (e) non-payment of amounts owed past the Grace Period; (f) misuse of the Platform's brand, app or IP beyond the licence scope.
16.2 Every trigger is binary and documentable — never a subjective judgment or performance evaluation. Enforcement is never based on ratings, acceptance rates, customer feedback or any metric construed as disciplinary power over work.
16.3 Human review. Decisions under this Article are taken by designated human reviewers and are communicated with reasons. Except where an immediate temporary suspension is strictly necessary to address a substantiated risk to persons or funds — in which case expedited review by the Pro Appeals Board occurs within five (5) business days — the affected Pro may submit their case before a final decision takes effect, in line with the human-oversight principles of Directive (EU) 2024/2831 (Arts. 10–11) and the internal complaint-handling duty of P2B Art. 11.
16.4 The Pro may appeal any final decision to the Pro Appeals Board (Schedule B).
Article 17 — Payment, Escrow and Payouts
17.1 The Pro provides valid bank details (IBAN) for settlements.
17.2 Flow. At booking, the PSP creates an Escrow Hold (authorisation with manual capture). After completion, the Dispute Window runs twenty-four (24) hours; absent an open dispute, the PSP captures the payment, the Pro's balance in the Wallet ledger is credited with the Pro Payout, and any Co-operative Share is recorded for the Cooperative. Where a dispute is opened and upheld for the Customer, the held funds are refunded instead.
17.3 Settlement. Ledger balances are settled periodically to the Pro's bank account in accordance with the payout schedule published in the App. The Platform does not hold customer funds itself: authorisation and capture are executed by the licensed PSP. (Bank transfers are automated via the licensed PSP's payout products - Stripe Connect transfers, executed automatically on the published schedule.)
17.4 Invoicing. The Platform issues an electronic invoice for the Platform Commission after each completed service. The Pro is responsible for issuing the invoice or receipt for the Service Price to the Customer in accordance with Portuguese or Spanish tax rules (e.g., electronic green receipts / invoices). Tips are paid in full to the Pro.
Article 18 — Service Rectification Commitment
18.1 The Customer may request rectification of deficiencies within at least fifteen (15) days after completion. The Pro shall return to the service location at no additional cost to assess, correct or complement the work.
18.2 This commitment is a commercial undertaking in addition to, and never in substitution for, the mandatory statutory guarantees available to consumers under Portuguese law (Lei n.º 24/96, Arts. 3.º, 4.º and 12.º; Civil Code) and Spanish law (TRLGDCU, Arts. 110 et seq., Art. 86.1), which may grant longer periods and broader remedies. Nothing here limits those rights.
18.3 The rectification obligation exists between Pro and Customer; it creates no supervisory relationship with the Platform, which is not responsible for service quality (subject to Article 44).
Article 19 — Certifications and Licences
19.1 For regulated activities (e.g., gas, HVAC, electrical installations), the Pro must hold and present valid certificates and licences required by applicable law whenever requested by the Platform, a Customer or competent authorities.
Article 20 — Tax Reporting Cooperation (DAC7)
20.1 The Platform may be obliged under Council Directive (EU) 2021/514 (DAC7), as transposed in Portugal (Lei n.º 32/2024) and Spain (Real Decreto 117/2024), to collect, verify and annually report to the competent tax authorities data about Pros who are reportable sellers — including identity, tax identification number, VAT number (where applicable), financial account details and consideration paid.
20.2 The Pro consents to such collection, verification and reporting and undertakes to provide accurate, complete data within five (5) days of request and to keep it updated. Sellers below the casual-seller thresholds defined by DAC7 are excluded from reporting by operation of law.
Article 21 — Termination
21.1 The Pro may terminate at any time with at least fifteen (15) days' written notice.
21.2 The Platform may terminate: (a) for Objective Causes under Article 16, with reasons and subject to human review; (b) by mutual agreement; (c) where the Pro permanently ceases to meet insurance or registration requirements.
21.3 Termination ends the IP License and App access. It does not affect: (a) obligations for services already booked (which should be honoured or cancelled through the App); (b) liability for past services; (c) settlement of accrued balances; (d) the right to operate independently.
PART III — TERMS FOR CUSTOMERS
Article 22 — The Customer Contract
22.1 When a booking is confirmed, the Customer concludes a contract for services directly with the Pro, not with the Platform. The Platform is not a party to that contract and is not responsible for the performance, timing or quality of the services, the Pro's conduct, or disputes between Customer and Pro — without prejudice to Article 44 and to the Platform's role under Articles 25 and 29.
22.2 The Platform facilitates introduction, payment processing, escrow release management, communication and support.
Article 22A - Guest Bookings
22A.1 You may book a service without creating an account by providing an email address and paying by card. A guest booking is a contract on these Terms; the email address is the contact of record and receives transactional booking messages and a tracking link. You can create an account at any time using the same email address to manage the booking. Guest bookings are limited to a single, scheduled, card-paid service; wallet, instant-payment, express, recurring and named-professional bookings require an account.
Article 23 — Booking and Pre-Contract Information
23.1 Customers book by selecting a service category, providing location, date and time preferences, choosing a service tier (where applicable), reviewing the pre-contract information and confirming. Unless a specific Pro is chosen, the Platform broadcasts the request to the nearest available Professionals (first acceptance wins) — the displayed Pro list shows each Professional's own price, and the Customer always pays the accepting Professional's price plus any selected tier add-on.
23.2 Pre-contract information. Before confirmation, the App displays: the service description and category; the available Professionals, their prices and verification badges (where a specific Professional is requested, that Professional's identity); the maximum amount that will be held while the request is open and the rule that the final price is the accepting Professional's price; the date, time and address; the cancellation terms, including the applicable late-cancellation fee schedule and how it is calculated; and the withdrawal information in Article 24, including the express-consent acknowledgment where the booking may fall within the withdrawal period and be performed before it expires.
23.3 Conclusion. The booking request becomes a binding Customer Contract when the Pro explicitly accepts; the Customer is notified. Requests unanswered within the published response window (default two (2) minutes) expire automatically, the hold is released and nothing is charged; the Customer may re-broadcast the request or reschedule it for a later time. Payment at this stage takes the form of an Escrow Hold (Article 25).
Article 24 — Right of Withdrawal (Consumers)
24.1 Consumer Customers may withdraw from the Customer Contract within fourteen (14) calendar days of its conclusion, without giving reasons, under DL n.º 24/2014 (Portugal) or TRLGDCU Art. 102 (Spain).
24.2 Exception. The right does not apply to services fully performed during the period where the Consumer gave prior express consent and acknowledged losing the withdrawal right upon full performance (CRD Art. 16(a)). That express consent and acknowledgment are collected in the booking flow before performance begins.
24.3 Exercise. Withdrawal may be exercised in the App or by the model form / e-mail address indicated therein. Refunds of held amounts are made without undue delay and in any event within fourteen (14) days, using the original payment instrument.
24.4 Statutory rights, including withdrawal, apply only to Consumers and cannot be waived by these Terms.
Article 25 — Payment and Escrow
25.1 Customers pay by card (processed by the PSP with strong authentication) or with Wallet credits.
25.2 At booking, the PSP places an Escrow Hold: funds are reserved, not charged. Capture occurs after completion plus the Dispute Window without an open dispute. If the booking is cancelled while pending or confirmed, the hold is released in full. If a dispute is upheld for the Customer, the held amount is refunded.
25.3 The Customer never pays more than the Service Price (plus any voluntary tip under Article 26.4). Prices displayed include all charges due by the Customer.
Article 26 — Wallet and Tips
26.1 Customers may maintain prepaid credits in the Wallet by top-ups of between €5 and €500 processed by the PSP.
26.2 Wallet credits are redeemable exclusively against services booked through the Platform, bear no interest and are not a bank deposit or e-money account; they represent a claim against the Platform limited to their redemption or refund value.
26.3 Refundability. Unused Wallet balances are refunded on request to the original payment instrument, free of charge, within fourteen (14) days.
26.4 Tips. Customers may tip between €0.50 and €100 on completed jobs; tips are charged immediately and transferred in full to the Pro.
Article 27 — Customer Obligations
27.1 Customers must: (a) provide accurate and complete information; (b) ensure safe and reasonable access to the service location; (c) pay the agreed price through the Platform; (d) treat Pros with respect.
27.2 Customers must not: (a) solicit Pros to perform platform-booked services outside the Platform's payment system without the Pro's consent; (b) provide false or misleading information; (c) engage in fraudulent conduct.
Article 28 — Ratings and Reviews
28.1 After each completed job, either party may leave one review of the other.
28.2 Reviews must be honest and based on genuine experience. Submitting or commissioning fake reviews or misrepresenting reviews is prohibited and unlawful (Unfair Commercial Practices Directive, Annex I item 23(b)–(c)).
28.3 Reviews are informational only; they are never used to rank Pros or trigger discipline (Articles 14 and 42).
28.4 Content moderation. Unlawful review content may be reported through the in-app mechanism. Reports are assessed by human moderators; removals carry a statement of reasons and are subject to internal complaint handling (DSA Arts. 16–17) and out-of-court settlement where applicable (DSA Art. 21).
Article 29 — Customer Protection and Dispute Resolution Within the Escrow
29.1 Protection measures. The Platform verifies Pros' business registration, insurance declarations and supporting documents before activation; processes payments securely through a licensed PSP; holds funds in escrow until after completion; and provides support.
29.2 Dispute window. Within twenty-four (24) hours after completion, the Customer may open a dispute in the App, attaching evidence. An open dispute pauses release of the held funds.
29.3 Decision. A designated Platform reviewer examines the evidence (job record, messages, completion photographs) and decides either to release payment to the Pro or refund the Customer. The decision is notified with reasons. This adjudication concerns the release of Platform-held funds only; liability for service quality remains with the Pro under the Customer Contract.
29.4 Escalation. A dissatisfied party may pursue Article 45.
Article 30 — Cancellations
30.1 Any party may cancel while the booking is pending or before a Professional accepts it; the payment hold is released in full and the slot is freed. Rescheduling remains available in the App with both parties' consent.
30.2 Once a Professional has accepted a booking (confirmed), a Customer cancelling less than twenty-four (24) hours before the scheduled start pays a late-cancellation fee of thirty per cent (30%) of the booking price; less than two (2) hours before the start, fifty per cent (50%). The fee is deducted from the amount refunded to the Customer. Half of the fee compensates the Professional for the reserved slot; the remainder covers platform costs. Cancelling twenty-four (24) hours or more before the start is free.
30.3 Cancellations by the Professional, and cancellations caused by the Platform (expired request, failed payment, or an unavailable Professional), never carry a fee; the hold is released in full.
30.4 For business accounts under Part V, cancellation of cleaning visits is governed by Part V; this Article's fee does not apply.
30.5 Repeated abusive cancellations may lead to account action consistent with these Terms (for Pros, only via Objective Causes; for Customers, only for fraud or abuse of protection mechanisms).
Article 30A - Damage Claims
30A.1 A Customer may report visible damage caused during a completed booking within seven (7) days of completion, with photographic evidence and a claimed amount not exceeding the booking total. The report opens a support review; the Professional is notified and may submit their side and their own evidence.
30A.2 Support may approve the claim in full or in part, or reject it with a written reason. Where a claim is approved, the Customer is refunded and the corresponding amount is deducted from the Professional's platform balance after a second reviewer's approval; amounts already withdrawn remain payable by the Professional.
30A.3 A rejected claim may be appealed once through support. The Platform's decision, taken in good faith on the available evidence, does not affect either party's statutory rights.
PART IV — TERMS FOR REGIONAL COOPERATIVES (PORTUGAL AND SPAIN)
Article 31 — Cooperative Status and Legal Basis
31.1 Regional Cooperatives are legally constituted cooperatives with separate legal personality, governed in Portugal by the Portuguese Cooperative Code (Lei n.º 119/2015, of 31 August — typically Cooperativas de Responsabilidade Limitada, CRL) and in Spain by Ley 27/1999, of 14 July, and applicable autonomous-community legislation (e.g., Ley 8/2003 of the Comunitat Valenciana), together with their own statutes.
31.2 Each Cooperative is scoped to a single city or region. No Cooperative covers more than one region.
31.3 The Platform holds zero voting rights in any Cooperative. Cooperatives are governed autonomously by their members through member-elected boards.
Article 32 — Platform–Cooperative Service Agreement
32.1 The relationship is governed by a twelve (12)-month Service Agreement, renewable by mutual agreement, including: (a) the IP License (Article 15), revocable for Objective Causes (Article 35); (b) insurance and registration requirements for members (Article 13 applies to members); (c) the Co-operative Share, set within the band defined in Article 1.11 and invoiced/settled commercially between the Platform and the Cooperative; (d) governance and reporting obligations; (e) termination provisions.
32.2 The Service Agreement is non-exclusive; the Platform may onboard independent Pros in the same region, and the Cooperative has no exclusivity claim.
Article 33 — Cooperative Governance and Operator Autonomy
33.1 The Platform does not appoint or remove directors, influence internal decision-making, exercise voting rights or control internal affairs.
33.2 Statutes must comply with applicable cooperative law, establish democratic governance (one member, one vote), provide for a member-elected board, specify scope, and state that the Cooperative is not an agent, employee or exclusive partner of the Platform.
33.3 Operator autonomy. Decisions on membership requests and member appeals belong exclusively to the Cooperative's operator; the Platform cannot override them. The Cooperative is responsible for member discipline in accordance with its statutes and applicable law. The Platform retains only platform-safety measures (e.g., suspension for Objective Causes) affecting access to the technology.
Article 34 — Cooperative Member Terms
34.1 Members are bound by the Cooperative's statutes and internal rules and, as Pros, by Part II of these Terms.
34.2 Members retain the same autonomies as direct Pros: setting prices, accepting or declining jobs, defining availability and working elsewhere.
34.3 The Cooperative may facilitate collective invoicing for business customers, administrative support and representation of member interests.
34.4 Money. The Co-operative Share accrues per released job (fixed at booking) on the Cooperative's ledger and is settled periodically with commercial invoicing between Platform and Cooperative. The Platform does not operate the Cooperative's internal finances.
Article 35 — Platform Enforcement Against Cooperatives
35.1 The Platform may revoke a Cooperative's IP License or terminate its Service Agreement only for Objective Causes at cooperative level: (a) insolvency or cessation; (b) sustained breach of insurance/registration requirements across a material number of members; (c) fraud by the Cooperative or its governing body; (d) IP/brand misuse; (e) non-payment of amounts owed.
35.2 Revocation does not affect individual members' ability to operate independently or under direct contracts.
35.3 Enforcement is subject to human review and the Cooperative's right to appeal (Schedule B applies mutatis mutandis).
PART V — TERMS FOR BUSINESS OPERATORS (B2B)
Article 36 — Scope and Business-User Status
36.1 Business Operators use the Platform to register managed properties, integrate external calendar feeds and enable auto-scheduling of cleaning jobs. Operators are professional users; relations are governed by these Terms and any signed order form. Consumer-law protections do not apply to Operators; the safeguards of Regulation (EU) 2019/1150 (P2B) do.
Article 37 — Accounts, API Keys and Calendar Feeds
37.1 Each Operator holds one B2B account. API credentials are confidential, stored hashed by the Platform, and must be rotated or revoked immediately upon suspected compromise.
37.2 The Operator warrants that it has the right to connect calendar feeds and lawful bases for personal data contained in them. Feed-derived data is processed by the Platform solely to detect checkout events and generate offers, acting on the Operator's documented instructions (processor role, GDPR Art. 28). Data minimisation applies.
Article 38 — Auto-Scheduling: Offers, Not Assignments
38.1 Model. Detection of a checkout event generates an Auto-Schedule Offer presented to eligible Pros who have opted into auto-scheduling (eligibility: proximity and availability, per Article 42). The Platform proposes work; it never assigns it.
38.2 Autonomy. Pros accept or decline freely; declining has zero consequences (no counter-offers, no ranking effects, no visibility to others). Unaccepted offers expire after 48 hours; the Platform performs no backup auto-fill. If no Pro accepts, the Operator must book manually.
38.3 Pricing. Jobs created from offers use the Pro's own published price; the Platform takes the prevailing platform commission (by default 18%) (plus Co-operative Share where applicable), identical to direct bookings.
Article 39 — Operator Payments
39.1 Operators store a payment method via PSP tokenisation and must maintain a usable, unexpired method for offers to become payable and publish. Cleaning charges follow the standard escrow pipeline (hold → completion → 24-hour Dispute Window → capture).
39.2 Any subscription or per-cleaning platform fees are disclosed in advance in the order form or Special Terms and invoiced monthly. Chargebacks and failed charges may lead to suspension after notice and cure.
Article 40 — Term, Data and Exit
40.1 Either party may close a B2B account with fifteen (15) days' notice. Upon closure, API keys are revoked; property and feed data are exported or deleted at the Operator's choice, subject to legal retention.
PART VI — ALGORITHMIC MANAGEMENT AND TRANSPARENCY
Article 41 — No Algorithmic Discipline
41.1 The Platform does not use algorithmic management for disciplinary, evaluative or restrictive purposes. No automated performance scoring influences disciplinary decisions, platform access, task allocation or pricing.
41.2 Significant decisions affecting Pros — restriction, suspension, termination, IP License revocation — are taken by humans, reasoned, and reviewable (Articles 16 and 43), consistent with the oversight and human-review principles of Directive (EU) 2024/2831 (Arts. 10–11).
41.3 Data limits. Automated monitoring does not process special categories of personal data, nor emotional-state or biometric data, for algorithmic-management purposes (Directive (EU) 2024/2831, Art. 7).
Article 42 — Matching Transparency
42.1 Rule-based matching. Eligibility for a booking or offer depends exclusively on: (a) active status, valid insurance and verified business registration; (b) offering the requested category, with that category approved by the Platform for that Pro under Article 8.6; (c) proximity within the search radius; and (d) a free availability slot covering the job window.
42.2 Ordering. Results are ordered primarily by distance from the customer's location (ascending), with creation date of the Pro profile as deterministic tiebreaker. Ratings, acceptance rates and any performance metrics are never used in ranking. A separately initiated rebooking of a previous Pro bypasses ranking entirely.
42.3 Publication and evaluation. The main parameters above are published in the Algorithmic Transparency Policy (P2B Art. 5; DSA Art. 27). The Platform evaluates the impact of automated decisions on a recurring basis and updates the Policy upon material change.
42.4 Customer and business-account exclusions. A Customer, or a business account under Part V, that has completed a job with a Pro may choose to exclude that Pro from their future matches ("Exclusion"). An Exclusion is personal to that Customer or account: it is never visible to other Customers, it is never a ranking signal, and it is never used to discipline or penalise the Pro or to affect the Pro's status, badges, ratings or access. The excluded Pro is not notified of the Exclusion. Where an Exclusion is set, any request or cleaning offer not yet accepted involving that Pro is withdrawn, and pending or confirmed jobs between the parties are cancelled under the standard cancellation rules (holds released; no cancellation fee), while in-progress and completed jobs are never affected. Exclusions are removed at the Customer's or account's request, after which matching returns to normal. This Article operates without prejudice to Article 14 (no algorithmic discipline) and is disclosed as part of Article 42.
Article 43 — Human Review and the Pro Appeals Board
43.1 The Platform establishes the Pro Appeals Board described in Schedule B, composed of independent members, with competence over account actions, IP License revocations and appeals against decisions supported by automated systems.
43.2 Rights: to be informed of adverse decisions with reasons; to be heard; to receive a written, reasoned decision within the scheduled timeframe; and to pursue judicial remedies without prejudice.
PART VII — LIABILITY AND DISPUTE RESOLUTION
Article 44 — Liability
44.1 The Platform is liable for its own services (availability of the App, correct execution of payments, escrow releases and refunds) under ordinary contract rules, without prejudice to liability regimes applicable to information-society services (DL n.º 7/2004; LSSI Ley 34/2002).
44.2 Subject to 44.3, the Platform is not liable for: (a) the performance, timing or quality of services provided by Pros; (b) Pros' conduct or omissions; (c) acts or omissions of Cooperatives; (d) indirect or consequential loss.
44.3 Mandatory limits. Nothing excludes or limits liability that cannot be excluded under mandatory law, including towards consumers for statutory rights (Portuguese regime of general contractual clauses, DL n.º 446/85; TRLGDCU Arts. 85 et seq.), wilful misconduct or gross negligence.
44.4 Business users. For Pros, Cooperatives and Business Operators (business users), the Platform's aggregate liability arising from the Platform's own breach is capped at the commissions paid by that user in the six (6) months preceding the event, excluding cases of intent, gross negligence, and liability under data-protection law.
44.5 Indemnity. Pros indemnify the Platform against third-party claims arising from their services, negligence or breach of law, except where caused by the Platform. This indemnity expressly covers third-party claims arising from any false or inaccurate representation made by the Pro under Article 8.6.
44.6 Digital records and transaction logs may serve as evidence. The Platform does not guarantee uninterrupted operation and is not liable for downtime or technical issues beyond its control (force majeure).
Article 45 — Complaints and Dispute Resolution
45.1 Channels. (1) Parties first seek direct resolution; the Platform provides mediation assistance and access to transaction records. (2) Complaints about the Platform's services (payments, account actions, content moderation) go to the complaints channel (support@support@[●]), handled internally with reasoned outcomes — for business users per P2B Art. 11, for content decisions per DSA Art. 17. (3) Escrow-release disputes are decided under Article 29.
45.2 ADR. Consumers may resort to ADR entities under Directive 2013/11/EU (consumer arbitration entities in Portugal; the Junta Arbitral de Consumo system in Spain). Pros have access to mediation under P2B Art. 12. Out-of-court settlement of content-moderation disputes is available under DSA Art. 21. Court remedies remain unaffected (Article 5).
45.3 Governing-law and forum rules follow Article 5.
PART VIII — FINAL PROVISIONS
Article 46 — Amendments
46.1 Material changes are notified at least fifteen (15) days in advance through the App and e-mail, with attention drawn to changes adversely affecting consumers. Non-material changes may take effect upon posting. Continued use after the effective date constitutes acceptance; users who object may terminate free of charge before that date.
Article 46A - Commercial Communications
46A.1 The Platform may send the User operational communications necessary for the Service (bookings, payments, security, support), which cannot be disabled while the account is active.
46A.2 Promotional communications (offers, news, campaigns) are sent by email only with the User's prior consent, or, for existing customers, under the "similar products and services" soft opt-in, always with a one-click unsubscribe link in every message and no effect on the Service.
46A.3 Push and in-app promotional messages follow the preferences configured in account settings; the User may withdraw consent at any time, free of charge, with immediate effect (GDPR Art. 7(3)).
46A.4 Consent records (state, timestamp, channel) are retained as evidence of compliance for the period required by law.
Article 47 — Severability
47.1 Invalid provisions are severed; the remainder stays in force. The invalid provision is replaced by the valid provision closest to its intent.
Article 48 — Entire Agreement
48.1 For Pros and Cooperatives: these Terms, the Privacy Policy, any Special Terms published and accepted, and any Cooperative Service Agreement constitute the entire agreement, superseding all prior versions and understandings. For Customers: these Terms and the Privacy Policy. For Business Operators: these Terms plus any signed order form.
Article 49 — Notices and Contact
49.1 Notices are in writing to the registered e-mail/address on file; e-mail notices are deemed received on sending, physical mail on delivery.
49.2 Contact. Legal: legal@taskoo.pt. Support/complaints: support@support@[●]. Registered office: [registered address].
Article 50 — Assignment and Force Majeure
50.1 The Platform may assign these Terms to an affiliate or in connection with a merger or sale of assets, notifying users; users may terminate before assignment takes effect. Users may not assign rights without consent.
50.2 Neither party is liable for failures caused by events beyond reasonable control.
Article 51 — Language
51.1 These Terms exist in English, Portuguese and Spanish (all published in the App). The Portuguese version prevails for matters concerning Portugal, the Spanish version for matters concerning Spain, the English version otherwise.

B.2 Procedure. Appeals filed within fifteen (15) days of the contested decision; the Board reviews all evidence, hears the Pro, issues a written reasoned decision within thirty (30) days of filing, ensures proportionality, and communicates in the Pro's language (pt/es/en). Interim suspensions imposed for safety are reviewed on an expedited basis within five (5) business days.
B.3 Effect. Board decisions bind the Platform internally; they do not prejudice any party's judicial remedies.
